Lumentum Logs Sharply Higher Profit, Revenue in F1Q — Market Talk. Lumentum reports a F1Q profit of $360.3 million, or $3.54 a share, up from $4.2 million, or 5 cents a share, in last year's comparable period. Stripping out certain one-time items, quarterly earnings came out to $4.57 a share, ahead of analyst views for $4.22 a share, according to FactSet. Net revenue more than doubled to $1.26 billion. CEO Michael Hurlston says Lumentum delivered growth across all its businesses, with pump lasers and optical circuit switches being the leading contributors. "Looking ahead, we anticipate adding approximately $350 million in sequential growth in our second quarter," he adds. Lumentum is down 4% premarket, after agreeing to be bought by Marvell Technology in an all-stock deal worth roughly $80 billion. (connor.hart@wsj.com)
EchoStar Shares Climb on WaPo Report that SpaceX Is In Talks to Buy Boost Mobile, Use Its Network. By Connor Hart Shares of EchoStar climbed after The Washington Post reported that SpaceX has held talks with the parent company of Boost Mobile in recent months. The stock rose 4.7% in premarket trading Monday. Through Friday's close, shares are down about 11% year to date. The talks revolve around SpaceX's goal to operate a mobile network. SpaceX CEO Elon Musk has been personally involved, meeting with EchoStar chairman Charlie Ergen last month to discuss SpaceX acquiring Boost Mobile or gaining access to its network, according to the WaPo report, which cited two people familiar with the negotiations. Access to Boost Mobile's network, which is leased from AT&T and T-Mobile US, would be a coup for SpaceX, the report said, allowing Musk to make a play for a U.S. wireless market that equity research firm MoffettNathanson estimates is worth $235 billion. Marvell to Buy Lumentum in $115 Billion All-Stock Deal. Marvell Technology, Inc. MRVL announced Monday that it has agreed to acquire Lumentum Holdings Inc. LITE in an all-stock deal valued at approximately $115 billion, expanding its presence in the fast-growing artificial intelligence infrastructure market . Under the agreement, Lumentum shareholders will receive 4.5 Marvell shares for each share they own. The deal values Lumentum at approximately $1,132 per share, representing a 23.9% premium to the companies’ unaffected closing stock prices on Oct. 28. Following the merger, Marvell shareholders will own approximately 67% of the combined company, while Lumentum shareholders will hold the remaining 33%. As of Aug. 1, Marvell had $3.93 billion in cash and cash equivalents, according to its fiscal second-quarter results . Deal Targets $550 Billion AI Connectivity Market The acquisition combines Marvell’s semiconductor, networking and custom silicon technologies with Lumentum’s expertise in high-performance lasers, optical transceivers and optical circuit switching . The companies expect the combination to expand their total addressable market to $550 billion. The deal comes as growing AI workloads drive demand for faster, more energy-efficient data connections. Optical technologies are increasingly replacing traditional copper connections as AI infrastructure becomes more complex. Marvell CEO Matt Murphy said the shift toward optical connectivity presents a major opportunity to reshape AI infrastructure. Lumentum CEO Michael Hurlston said the combination would help customers accelerate innovation, improve performance and bring advanced connectivity products to market faster. Marvell Expects Over $1 Billion in Annual Savings Marvell expects the transaction to generate more than $1 billion in annual run-rate cost synergies . The company also anticipates stronger long-term revenue growth and improved adjusted gross and operating margins. The acquisition is expected to boost Marvell’s adjusted earnings per share in the first year after closing. Both companies’ boards unanimously approved the transaction. Murphy will remain chairman and CEO of the combined company. Three Lumentum directors, including Hurlston, will join Marvell’s board. The deal is expected to close in the first half of 2028, subject to shareholder and regulatory approvals. Marvell Provides Preliminary Quarterly Update Alongside the acquisition announcement, Marvell said its preliminary fiscal third-quarter 2027 revenue remained consistent with its previous guidance. The company maintained the midpoint of its revenue forecast while narrowing the expected range to plus or minus 2%, compared with the previous range of plus or minus 5%. Lumentum also reported better-than-expected fiscal first-quarter 2027 results. Adjusted earnings of $4.57 per share beat the analyst estimate of $4.19, while revenue of $1.263 billion topped Wall Street’s estimate of $1.249 billion . Price Action: Lumentum Holdings shares were down 6.51% at $786.00 and Marvell Technology shares were down 3.05% at $190.40 during premarket trading on Monday, according to Benzinga Pro data.

Fluence Energy CEO Nebreda, Finance Chief Pasha Leave in C-Suite Shake-Up. By Colin Kellaher Fluence Energy is parting ways with a trio of executives, as the energy storage company works to right its ship following a steep cut to its financial guidance. Fluence on Monday said its president and chief executive, Julian Nebreda, has left the Arlington, Va., company, as have Ahmed Pasha, who was senior vice president and chief financial officer, and John Zahurancik, who was senior vice president and chief customer success officer. The departures come after Fluence in September cut its fiscal-year revenue and profit guidance, citing supply-chain issues that are disrupting U.S. production. Fluence said Axel Meier, a board member who recently retired as chief financial officer of Siemens Smart Infrastructure, is stepping in as interim CEO, while Ricardo Roizen, who previously served as chief financial officer of AES Andes, will serve as interim finance chief. The company said it has launched searches for permanent successors to Nebreda and Pasha, adding that its board has established a new manufacturing and operations oversight committee. Fluence said Bernerd Da Santos, who joined the company in September as chief operating officer, will remain in that post and lead the company's operational transformation. The company said Marco Boos will join on Nov. 15 to succeed Zahurancik as senior vice president and chief customer success officer. Fluence said Nebreda, Pasha and Zahurancik are eligible to receive severance benefits. Write to Colin Kellaher at colin.kellaher@wsj.com

However, strategist Mislav Matejka expects any escalation to be short-lived, creating another buying opportunity.
